Whether the Superior Court judge correctly ruled that the defendant closely-held corporation and its corporate counsel have no attorney-client privilege or work product protection vis-à-vis certain shareholders/directors asserting claims against the corporation, including documents created in anticipation or in defense of those claims, on the basis that the plaintiffs were "joint clients"; whether the decision of Garner v. Wolfinbarger, 430 F 2d 1093 (5th Cir.) is applicable in the circumstances.

Parties filing amicus briefs are expected to comply with the requirements of Rules 17, 19 and 20 of Mass. Rules of Appellate Procedure. Amicus briefs, to assist the court, should focus on the ramifications of a decision and not solely on the interests of the parties filing such briefs.
