In the Commonwealth, the Petitioners are the mutual holding company and the mid-tier stock holding company for Fall River Five Cents Savings Bank d/b/a BankFive ("BankFive"), Fall River, Massachusetts. In connection with this multi-step transaction, the approval of the Board will also be required for the establishment of an interim trust company. MountainOne Financial Partners, MHC, North Adams, Massachusetts, and its mid-tier stock holding company subsidiary (the "Petitioners") - permission to acquire ownership of and control of South Coastal Bank ("South Coastal"), Rockland, Massachusetts, through a merger with South Coastal's mutual holding company, South Coastal Holdings MHC, Inc. The Petitioners are the mutual holding company and mid-tier stock holding company for Hoosac Bank, North Adams, Massachusetts and Williamstown Savings Bank, Williamstown, Massachusetts. As a result of this transaction, the Petitioners will control South Coastal Bank in addition to its existing bank subsidiaries, Hoosac Bank and Williamstown Savings Bank - approved June 1, 2007.

NOTICE OF PUBLIC HEARING
Pursuant to the provisions of Massachusetts General Laws chapter 255E, section 2 and in accordance with the provisions of Massachusetts General Laws chapter 30A, section 2, a public hearing will be held on Tuesday, July 10, 2007 at 10:00 a.m., Hearing Room A, 5th Floor, One South Station, Boston, Massachusetts, at which comments will be received by the Division of Banks (the "Division") relative to proposed amendments to existing regulation, 209 CMR 42.00: THE LICENSING OF MORTGAGE LENDERS AND MORTGAGE BROKERS.
The purpose of the proposed amendments is to increase the minimum net worth requirement for licensed mortgage lenders and to formalize a minimum net worth requirement to implement the financial responsibility requirement for licensed mortgage brokers. The proposed amendments would also exclude from the calculation of an applicant or a licensee's net worth the value of a residence occupied in whole or in part by the applicant or licensee. The amendments would also require an applicant for a mortgage broker license to submit audited or reviewed financial statements. A surety bond requirement for both licensed entities is also being established.
These amendments were developed to implement the recommendations of a working group, formed as a result of a Mortgage Summit meeting attended by participants from government agencies, non-profit organizations and the mortgage lending industries. Additional changes or amendments may be made based on comments received at the public hearing or during the comment period.
Written comments may be submitted to the Division on the proposed amendments until 5:00 p.m. on Friday, July 20, 2007.
