Hearing Scheduled for December 8, 2005
Pursuant to M.G.L. Chapter 175, §49A, Liberty Mutual Fire Insurance Company ("LMFIC") has requested the approval of the Commissioner of Insurance ("Commissioner") to transfer corporate domicile to the State of Wisconsin. LMFIC is a wholly-owned subsidiary of Liberty Mutual Group Inc., a Massachusetts corporation, which, in turn, is a wholly-owned subsidiary of LMHC Massachusetts Holdings Inc., a Massachusetts corporation, which, in turn, is a wholly-owned subsidiary of Liberty Mutual Holding Company, Inc., a Massachusetts mutual holding company. This request will not affect the domicile of LMFIC's parent corporation(s), in particular Liberty Mutual Holding Company, Inc., or Liberty Mutual Insurance Company, a separate Massachusetts stock company that is also part of the mutual holding company system.
In light of LMFIC's request, the Commissioner wishes to consider relevant financial, legal and policy matters associated with this proposed redomestication. To provide for full consideration of these issues, the Commissioner has scheduled an informational hearing for 10:00 a.m. on December 8, 2005 at the Division of Insurance, One South Station, Boston, Massachusetts.
The purpose of the hearing is to afford all interested parties the opportunity to provide oral and/or written testimony regarding this matter. Pursuant to M.G.L. c. 175, §49A, the Commissioner shall approve any such proposed change in domicile unless she determines that such change is not in the interest of the policyholders of the Commonwealth of Massachusetts.
Any person who intends to testify at the hearing may file a Notice of Intent to Testify with the Division of Insurance on or before December 1, 2005. All other parties who wish to testify will be heard subsequent to those who notify the Division of Insurance in advance. Persons wishing to submit written comments may do so at any time prior to the conclusion of the hearing.
