A three member board oversees the Trust. State Treasurer Deborah Goldberg serves as the Chair, while the other two members are Michael Heffernan, Secretary of the Executive Office for Administration and Finance and Martin Suuberg, Commissioner of the Massachusetts Department of Environmental Protection (MassDEP). The Trust operates under the direction of Treasurer Goldberg and the Executive Director, with an Executive Director to coordinate efforts between the three members of the Board.
The Executive Committee of the Massachusetts Clean Water Trust consists of the Executive Director, an appointee of the Secretary of the Executive Office for Administration and Finance and an appointee of the Commissioner of MassDEP. The Executive Committee makes recommendations to the Board of Trustees on policy matters.
The Massachusetts Clean Water Trust is governed by the Federal Clean Water Act and Safe Drinking Water Act of 1974. The Community Septic Management Program is governed by the State Environmental Code- Title V . The Trust is also subject to state enabling legislation, which is Massachusetts General Law Chapter 29C.
