Middlesex Savings Bank, Natick, Massachusetts - approval to acquire Service Bancorp, MHC and Service Bancorp, Inc., Medway, Massachusetts

Middlesex Bancorp, MHC, (in formation), (Petitioner), Natick, Massachusetts has petitioned the Board of Bank Incorporation (Board) pursuant to Massachusetts General Laws, chapter 167A, sections 2 and 4 for approval to acquire ownership and control of Service Bancorp, MHC and Service Bancorp, Inc., together referred to as (Service), Medway, Massachusetts in a multi-step transaction. In a related transaction that is subject to the jurisdiction of the Division of Banks, Strata Bank will be merged with and into the Petitioner's subsidiary bank, Middlesex Savings Bank (Middlesex), Natick, Massachusetts. As a result of this transaction, the banking offices of Strata Bank will become the banking offices of Middlesex, except for the branch offices at 59 Main Street, Hopkinton and 18 North Meadows Road, Medfield which will be closed.

In determining whether or not to approve these applications, the Board and the Division must decide, among other things, whether competition among banking institutions will be unreasonably affected and whether public convenience and advantage will be promoted by these proposals. A public hearing before the Board will be held at 1:30 p.m. on Thursday, April 23, 2009, Hearing Room A, Fifth Floor, One South Station, Boston, Massachusetts.
