Rockville Financial, Inc., Rockville, Connecticut to acquire United Financial Bancorp, Inc., West Springfield, Massachusetts

The Commonwealth of Massachusetts Board of Bank Incorporation

Rockville Financial, Inc. (the “Petitioner”), Rockville, Connecticut, has petitioned the Board of Bank Incorporation (the “Board”) pursuant to Massachusetts General Laws, chapter 167A, sections 2 and 4 for approval to acquire United Financial Bancorp, Inc. (“United Financial”) West Springfield, Massachusetts and its subsidiary bank, United Bank, West Springfield, Massachusetts. The Petitioner is the holding company for Rockville Bank, Rockville, Connecticut. As part of this multi-step transaction, United Bank will be merged with and into Rockville Bank which will then change its name to United Bank.

In determining whether or not to approve the petition the Board must decide whether competition among banking institutions will be unreasonably affected and whether public convenience and advantage will be promoted by this proposal. A public hearing will be given to all interested parties on the petition before the Board on Tuesday, February 11, 2014 at 10:30 a.m., in Hearing Room 1E, First Floor, 1000 Washington Street, Boston, Massachusetts.

All comments concerning this petition, however, must be filed with the Board by the close of business on February 20, 2014 at the following address.
