What must the Letter of Intent for a Business License Application contain?

The letter of intent is a statement by the licensee that they intend to serve as the Licensee of Record (LOR) for the company. It also should affirm the understanding of their responsibilities as the LOR, making them responsible for the business entity’s compliance to the laws and regulations in accordance with 237 CMR 12.00 through 22.00 and M.G.L. c. 141. It should also name any and all businesses for which they are already listed as an LOR.

What company role must a Licensee of Record hold and document in their Business License Application?

Depending on the structure of the company, the Licensee of Record (LOR) must be listed appropriately with the Secretary of the Commonwealth (SOC). Per 237 CMR 16.00, if the company is an LLC, the LOR must be listed as a Manager of the company in the filings with the SOC. If the company is a corporation, the LOR must be listed as an Officer of said corporation. In both cases, proof must be documented in the form of filings with the SOC, submitted with the application.

Can someone serve as the Licensee of Record for more than one business?

Per 237 CMR 16.00 …A licensed master electrician or systems contractor may serve as licensee of record for more than one business entity. However, said licensee shall be required to produce evidence satisfactory to the Board that he or she is capable of ensuring each business entity he or she is affiliated with is fully compliant with the laws, rules, and regulations enforced by the Board.”

Currently, Board policy is that one may serve as LOR for 2 licensed companies but must petition to the Board to serve on any more than 2, to demonstrate the ability to execute the functions of the LOR, ensuring safety and the companies’ compliance with code, laws, and regulations relative to the work performed. Petitions must be made via email to board.electricians@mass.gov, after submitting an application online for the business license or amendment to a business license.

How can I change the Licensee of Record (LOR) after death of current LOR?

Per 237 CMR 16.00, specifically 16.04 (inclusive), after notifying the board (via email) within 15 days of the death of the LOR, complete a business amendment, providing the following documentation:

  • Documentation of the death of the currently listed LOR
  • Letter of intent by the new LOR to serve in their place
  • Documentation having been filed with the SOC that the new LOR qualifies per 16.03 (2). Qualifying LOR for LLCs must be listed as a manager; for Corporations must be an officer of the company.

How can I change the Licensee of Record (LOR), while continuing operation of the business?

Per 237 CMR 16.00, specifically 16.03 (inclusive), the company must notify the Board (via email) within 15 days of the separation of the LOR from company employment; this allows the company to operate for 60 days from the date of separation. Then the company must complete a business amendment, providing the following documentation:

  • Documentation of the separation of the currently listed LOR from the company
  • Letter of intent by the new LOR to serve in their place
  • Documentation having been filed with the SOC that the new LOR qualifies per 16.03 (2). Qualifying LOR for LLCs must be listed as a manager; for Corporations must be an officer of the company.
