This tip sheet includes helpful reminders regarding your annual reports.

Both domestic and foreign corporations and limited liability companies (LLCs) doing business in the Commonwealth of Massachusetts must file a timely annual report each year to remain in good standing.

Your company’s most recent annual report filed with the Secretary of State Corporations Division must be included with your yearly DCAMM application. If your company is not in good standing with the Commonwealth it cannot be certified by DCAMM.

Annual Reports - Yearly Reminder

Domestic and foreign corporations – annual reports are due 2 ½ months after the corporation’s fiscal year end. For example, if the fiscal year ends on December 31, the annual report is due to be filed on or about March 15. 

Domestic LLCs – annual reports must be filed each year on or before the anniversary date of the Articles of Organization.  For example, if the LLC was organized on June 12, 2021, the annual report is due to be filed on or before June 12, 2022. 

Foreign LLCs – annual reports must be filed each year on or before the anniversary date of the registration to do business in Massachusetts. For example, if the foreign LLC was registered to do business in the Commonwealth on August 8, 2022, the annual report is due to be filed on or before August 8, 2023.
